Regular Board Meeting Minutes
January 6, 2022
The regular board meeting of the McIntosh County Industrial Development Authority (MCIDA) was held January 6, 2022, in the board room of the Industrial Development Authority Office, 211 Walton St, Darien, Georgia, at 9:00 a.m., Chairman, Chris Harper, called the meeting to order.
Board Members present at meeting when called to order: Chris Harper, Cliff Sowell, Jean Tinnin, Tom Draffin, Bill Hodges. Also, present were President Dawn Malin, Attorney Jay Duncan and Executive Assistant Teresa McDermott.
Board Members: Davis Poole and Sam Oliver were absent
Chris Harper welcomed the Board to the meeting.
Bill Hodges offered the invocation which was followed by the Pledge of Allegiance to the American Flag.
Chris Harper requested a motion to approve the agenda. Cliff Sowell made the motion to approve the agenda. Tom Draffin seconded the motion. Mr. Harper asked if there were any changes, additions, or deletions. The motion carried unanimously.
Chris Harper requested a motion to approve the December 8, 2021, board meeting minutes & December 15, 2021 called board meeting minutes. Cliff Sowell made the motion to approve the December 8, 2021 board meeting minutes & December 15, 2021 called board meeting minutes. The motion was seconded by Tom Draffin. The motion carried unanimously.
Treasurer’s Report
Chris Harper asked Cliff Sowell for the Treasurer’s Report. Dr. Sowell spoke to the Board about the October, November, December and year-end 2021 financials. There are slight differences due to tax revenue, rent, and mall assessments on the revenue side and the initial RLF funding on the expense side. Dr. Sowell asked the Board if they had any questions. None were asked.
Old Business
- Dawn Malin gave an update on Tidewaters Industrial Complex.
- Dawn stated that she still had not heard anything back concerning ARP grant.
- Dawn stated that IDO-Expo plans to have building up by Summer 2022.
New Business
- New Year Business Requirements:
- Chris Harper requested a motion to approve The Darien News as the legal organ for MCIDA. Jean Tinnin made the motion to approve The Darien News. The motion was seconded by Bill Hodges. The motion carried unanimously.
- Tom Draffin requested a motion to approve Southeastern Bank as the depository for MCIDA. The motion was seconded by Cliff Sowell. The motion carried unanimously. Chris Harper abstained.
- Cliff Sowell requested a motion to approve Chris Harper as chairman of MCIDA. The motion was seconded by Tom Draffin. The motion carried unanimously.
- Bill Hodges made the motion to approve Davis Poole as vice-chairman of MCIDA. The motion was seconded by Cliff Sowell. The motion carried unanimously.
- Bill Hodges made the motion approve Cliff Sowell as secretary/treasurer. The motion was seconded by Tom Draffin. The motion carried unanimously.
- Chris Harper made the motion to approve Cliff Sowell as Board Appointee to SEGA. The motion was seconded by Tom Draffin. The motion carried unanimously.
- Bill Hodges made the motion to approve Earle Jay Duncan as legal council for McIntosh County Industrial Development Authority. The motion was seconded by Cliff Sowell. The motion carried unanimously.
- Tom Draffin made the motion to continue with approved board meeting dates/time which is the first Thursday of each month with workshop beginning at 8:30 a.m. and board meeting beginning at 9 a.m. The motion was seconded by Cliff Sowell. The motion carried unanimously.
- Dawn Malin announced that McIntosh County will continue as Tier 2 status in 2022.
- Chris Harper announced that Kate Karwacki is now our World Trade Center (WTC) Savannah representative for McIntosh County.
Executive Session – None at this time
President’s Report
- Waiting to hear back from Project Autumn
- Project Sea Horse has made indications that they will update us in the first quarter.
- Project Passion met with legal team & in their organization concerning moving forward.
- RLF request come in for our joint RLF community foundation. We sent it out to the committee for review, more information was requested.
- Waiting to hear back concerning our water system grant application.
- SEGA meeting is Jan 20th meeting with Stacey Watson with Ports of Savannah.
- UGA Economic luncheon on Jekyll Island for January 12th
MCIDA Board Member Reports
- Bill Hodges asked for our chairman to seek guidance from County where the zoning board stands and the impact it has on IDA. Chris Harper said we will have a report at next board meeting.
Announcements
- Dawn Malin announced that Davis Poole is now a grandfather.
Chris Harper called for a motion to adjourn the meeting. Bill Hodges made the motion to adjourn the meeting, Tom Draffin seconded the motion. The motion carried unanimously; the meeting adjourned at 9:25 a.m.
Next regular board meeting will be Thursday, February 3, 2022, 9:00 a.m. meeting.
